End-User License Agreement

1. Agreement to Terms

This End-User License Agreement ("Agreement") is between CommandDeck ("Company", "we", "us", or "our") and you ("User" or "you"). This Agreement governs your use of the CommandDeck Dashboard application ("Software"), including any updates or supplements.

2. Scope of Use

The Software is provided for internal business use only by authorized employees and contractors of CommandDeck. This Software integrates with QuickBooks and other third-party services to facilitate business operations including customer management, job scheduling, payroll processing, and sales tracking.

3. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Software for CommandDeck business purposes
• Use the QuickBooks integration features to sync payroll and financial data
• Access customer, employee, and business data as authorized by your role

4. Restrictions

You agree NOT to:

• Share your login credentials with unauthorized individuals
• Use the Software for any purpose other than CommandDeck business operations
• Reverse engineer, decompile, or disassemble the Software
• Remove, alter, or obscure any proprietary notices
• Use the Software in any manner that violates applicable laws or regulations
• Export or share confidential business data without authorization

5. QuickBooks Integration

The Software integrates with QuickBooks Online through Intuit's API. By using this integration, you acknowledge:

• Data will be synchronized between the Software and QuickBooks
• You must comply with QuickBooks' terms of service
• We are not responsible for QuickBooks service availability or data accuracy
• You authorize the Software to access your QuickBooks data as needed for payroll and financial operations

6. Data Ownership

All business data entered into or generated by the Software, including customer information, employee records, financial data, and business metrics, remains the property of CommandDeck. Users are custodians of this data and must handle it responsibly in accordance with company policies.

7. Confidentiality

You acknowledge that the Software and all data contained within it is confidential and proprietary to CommandDeck. You agree to maintain the confidentiality of:

• Customer information and contact details
• Employee personal information and payroll data
• Business financial information and sales data
• Pricing, proposals, and business strategies

8. Termination

This license is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any of its terms. Upon termination:

• You must cease all use of the Software immediately
• Your access credentials will be revoked
• You must not retain any confidential business data

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMMANDDECK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Support and Updates

We may provide updates, patches, and new features to the Software at our discretion. We are not obligated to provide support, maintenance, or updates, but may do so for business operational needs.

12. Governing Law

This Agreement is governed by the laws of the State of Kentucky, United States, without regard to conflict of law principles.
